Topics to be discussed: what to consider before joining a board; maintaining focus on oversight and strategy; CEO succession and succession planning; board / management divide; management’s role in providing useful information and context; establishing the agenda/discharging the oversight function in  manner that leaves time for strategic concerns; the role of the board in compliance (regulated industries, in particular); establishing a culture of collegiality and candor; when to speak/ how to speak; dealing with an unruly director; board confidentiality; maintaining the professionalism of the board; board size, tenure and recruitment; board refreshment (e.g., term limits, age limits); board independence and conflicts of interest; board minutes; regular, executive and privileged meetings (e.g., differences, when to have, how to schedule); and self-evaluation.

Thomas Chandler

Tom Chandler is partner with Holland & Hart. He has over 35 years of experience as outside counsel managing the day-to-day legal affairs for a wide range of businesses, including healthcare payors, suppliers and providers, property developers, construction material suppliers, automotive dealers, and nonprofit organizations. He represents businesses at all stages of the corporate lifecycle. Tom has served on the board of directors of a community bank for more than 14 years, as a director of a private construction materials company for over 25 years, on the advisory board of a fiberglass fabrication business, and as an interim president of a company following the untimely death of its prior president. Prior to joining Holland & Hart, Tom practiced for many years at Hawley Troxell in Boise, where he chaired the corporate practice group.

Dennis Johnson

Dennis Johnson is President and Chief Executive Officer of United Heritage Financial Group. This holding company, headquartered in Meridian, Idaho, owns United Heritage Life Insurance Company, of which he has been President and Chief Executive Officer since 1999, and three western regional property and casualty companies located in Idaho, Oregon, and California. Dennis serves on the Boards of Directors of United Heritage Mutual Holding Company, United Heritage Financial Group, United Heritage Life Insurance Company, IdaCorp/Idaho Power Company (NYSE: IDA), and First Interstate BancSystem Inc. (NASDAQ: FIBK).

Connie Miller

Connie Miller is currently the President/CEO of Icon Credit Union. Connie was honored as one of Idaho’s six CEO’s of Influence for 2014 by the Idaho Business Review for her leadership, integrity, vision, commitment to excellence, diversity and influence. Connie has led Icon Credit Union to a Top 200 Credit Union from almost 6,000 credit unions in the nation, and was recently named a recipient of Excellence in Finance for 2017 by the Idaho Business Review. Connie was recently selected to serve a 3-year term for the Community Depository Institution Advisory Council for the Twelfth District of the Federal Reserve Bank.
