More than seven out of ten of all U.S. public companies have market capitalizations of less than $500 million.  The typical one-size-fits-all approach to corporate governance, however, places a disproportionate governance burden on small-cap companies in terms of company compliance costs and the diversion of limited board time.  Audit, nominating and compensation committee best practices apply to companies of all sizes, but what are the ways for small public company directors to prioritize limited resources and achieve the appropriate level of governance for their company?
